Legal Counsel

Job description:

This role requires a professional, fast-learning and enthusiastic lawyer with a keen interest in working in a role which will support the expanding scope of centralised global legal services and, in particular, the legal requirements of a fast paced, growing and exciting global Trading and Supply business. It is expected that the candidate will work primarily with colleagues (business and legal) in the US/North American and European time zone but there may also be an opportunity to work transactions with colleagues from the Eastern time zone.

The accountabilities for this role include:

  • Drafting, review and advising on legal risks for various categories of contractual documentation entered into by the business which includes (but is not limited to): Non-disclosure Agreements, parent company guarantees, letters or credit/bank guarantees, facility agreements for trade financing or credit insurance, consultancy or service agreements, standard novation agreements, agreements for the sale and purchase of commodities

  • Review of questions from the Trading and Supply Contracts department and Price Risk Management Department on deviations from T&S’s standard ISDA Master Agreement schedule

  • Reviewing and advising on legal issues arising from demurrage and other product claims matters

  • Assisting on corporate governance matters such as review of board papers

  • Undertaking legal research and coordinating legal input across jurisdictions on specific legal issues.

  • Assisting in creation and updating of legal guidance notes or FAQs on common issues (including development of Chatbot capability over time)

  • Support the development of templates and playbooks for the migration of repeatable categories of work to LSGO

  • Support, from time to time, tactical projects or matters as required by LSTS colleagues.


All the above must be done in a timely manner. In addition, the successful candidate must have a high degree of flexibility, potentially interacting with a direct line manager in another country with legal team colleagues spread across Asia Pacific, Europe and the US and business partners across the globe.

Dimensions :
The position requires fluent and proficient English speaking, writing and legal drafting skills. The services are required to be provided from offices provided in Krakow in the Shell Business Operations (SBO) Center. The successful candidate will be co-located there with lawyers holding similar responsibilities.

Requirements:

  • Minimum 8 to 9 years legal experience, preferably in a regional or global role, providing legal advice on commodities transactions or similar.

  • Educational prerequisites and license to provide legal services in the jurisdiction where physically located.

  • Strong contracting experience with the ability to understand strategies and risk mitigation in template documents and identify and support improvements/simplification of existing templates.

  • Knowledge of Generally Embargoed Countries and countries which have been imposed with sanctions from countries/entities such as the US, EU and UN will be an added advantage.

Key Competences required:

  • Read and understand strategies and risk mitigation in Shell preferred contract terms and templates, and explain them to business partners.

  • Ability to interpret and integrate risk mitigation into customer templates when required.

  • Demonstrated ability to identify legal risks and alternative strategies in a defined area.

  • Ability to ensure that documents accurately reflect the commercial decisions, at all times consistent with legal obligations and Shell’s requirements.

  • Demonstated track record of delivering commercially pragmatic and business value adding legal advice.

  • Ability to prioritize and manage issues independently.

  • Ability to think strategically and support CI initiatives
